Terms & Conditions, Confidentiality & Intellectual Property Agreement

By purchasing, booking, attending, accessing or participating in any Demand Architecture™ event, masterclass, workshop, advisory engagement, training programme, online material, presentation or associated content (collectively, the “Programme”), you (the “Participant”) agree to the following Terms & Conditions.

1. Nature of Demand Architecture™

Demand Architecture™ is a proprietary marketing strategy, education and advisory methodology developed to help organisations and marketing professionals better understand the human motivations that create and influence demand.

Programmes and services may include:

  • Demand Architecture™ Live events

  • Live and online masterclasses

  • Workshops

  • Advisory and consultancy engagements

  • Presentations and keynote sessions

  • Video and digital training

  • The Demand Architecture™ framework

  • Emotional Architecture™ methodologies

  • The Seven Drivers of Emotional Architecture™

  • Strategic models and diagnostic methodologies

  • AI-assisted research and analysis methodologies

  • Messaging and positioning methodologies

  • Workbooks, templates and exercises

  • Documents, diagrams and presentations

  • Case studies and commercial applications

  • Other proprietary concepts, systems and intellectual property

Except where expressly stated otherwise, all Programme content and materials remain the intellectual property of MCG Digital Media Ltd and/or Demand Architecture™.

2. Intellectual Property Ownership

All Demand Architecture™ content, methodologies, frameworks, materials and associated intellectual property are protected by applicable copyright, trademark and intellectual property laws.

Protected materials include, without limitation:

  • The Demand Architecture™ name and brand

  • The Demand Architecture™ framework

  • Emotional Architecture™ concepts and methodologies

  • The Seven Drivers of Emotional Architecture™

  • Framework structures and sequences

  • Strategic methodologies

  • Diagnostic models

  • Research methodologies

  • AI methodologies and prompts

  • Messaging methodologies

  • Training structures

  • Slide decks and presentations

  • Diagrams and visual models

  • Scripts

  • Videos and recordings

  • Workbooks

  • Templates

  • Documents

  • Terminology and naming conventions

  • Brand assets and visual concepts

  • Programme and delivery formats

Participants are granted a limited, revocable, non-transferable and non-exclusive licence to use Programme materials for their own personal professional development or legitimate internal business purposes only.

No ownership or intellectual property rights are transferred to the Participant.

3. Confidentiality

Participants may receive proprietary, confidential or commercially sensitive information as part of a Programme.

Participants agree not to:

  • Share confidential Programme materials with unauthorised third parties

  • Reproduce Programme content publicly

  • Upload or publish Programme materials online

  • Distribute documents, presentations or recordings

  • Share proprietary frameworks, methodologies, prompts or processes externally

  • Provide unauthorised access to Programme materials

  • Record sessions without prior written permission

  • Repurpose proprietary Demand Architecture™ materials for external training, consultancy or commercial education

  • Present Demand Architecture™ intellectual property as their own work or methodology

These confidentiality obligations continue after participation in the Programme.

Nothing in these Terms restricts information that is already lawfully in the public domain other than through a breach of these Terms.

4. Protection Against Commercial Reproduction

Participants remain entirely free to operate their own businesses, agencies, marketing departments, consultancies and professional services.

However, participation does not grant the right to reproduce or commercially exploit Demand Architecture™ intellectual property.

Without prior written permission from MCG Digital Media Ltd, Participants must not:

  • Create or market a course, masterclass, workshop, training programme or methodology that materially reproduces proprietary Demand Architecture™ content

  • Teach or resell the Demand Architecture™ framework as their own methodology

  • Repackage Demand Architecture™ materials for commercial training or consultancy

  • Reproduce the Seven Drivers of Emotional Architecture™ as a proprietary competing framework

  • Copy or materially imitate Demand Architecture™ diagrams, models, terminology, curriculum or training materials

  • Use Demand Architecture™ intellectual property to create derivative training products for resale

  • Represent themselves as authorised Demand Architecture™ trainers, practitioners, partners, licensees or representatives unless formally authorised in writing

  • Copy or imitate Demand Architecture™ branding in a manner likely to cause confusion regarding association, endorsement or origin

Nothing in this section prevents a Participant from applying knowledge and general principles learned through a Programme within their own legitimate professional work.

The purpose of this provision is to protect the proprietary intellectual property and commercial integrity of Demand Architecture™, not to prevent Participants from practising marketing, consulting, strategy or related professional services.

5. Recording, Reproduction & Distribution

Unless written permission has been provided, Participants may not:

  • Audio record sessions

  • Video record sessions

  • Screen record Programme content

  • Livestream sessions

  • Reproduce substantial portions of presentations or materials

  • Redistribute Programme assets

  • Share member-only or Participant-only access

  • Upload proprietary Programme materials to public repositories

  • Upload confidential or proprietary materials into public AI training datasets or systems where those materials may become available to third parties

Unauthorised reproduction or distribution may constitute a material breach of these Terms and an infringement of intellectual property rights.

6. Payments, Bookings & Cancellations

All Programme fees, deposits, booking arrangements and cancellation rights will be stated at the point of purchase or within the relevant booking documentation.

Where a deposit is taken:

  • The deposit secures the Participant's place subject to these Terms

  • Any outstanding balance must be paid by the stated due date

  • Failure to complete payment may result in cancellation of the booking

Demand Architecture™ reserves the right to refuse attendance or access where required payments remain outstanding.

Nothing in these Terms is intended to remove or restrict any statutory cancellation, refund or consumer rights that cannot lawfully be excluded.

7. Event Changes & Rescheduling

Demand Architecture™ reserves the right, where reasonably necessary, to:

  • Change venues

  • Change speakers, contributors or facilitators

  • Amend Programme schedules

  • Reschedule event dates

  • Modify Programme content

  • Deliver a session online where circumstances reasonably require it

Where Demand Architecture™ cancels or materially reschedules an event, Participants will be informed of the options available to them, which may include transfer to another date or a refund where applicable.

8. Participant Conduct

Participants are expected to behave professionally and respectfully towards speakers, staff and other Participants.

Demand Architecture™ reserves the right to remove a Participant from a Programme where there is serious or persistent:

  • Disruptive behaviour

  • Harassment

  • Abusive or aggressive conduct

  • Unauthorised recording

  • Confidentiality breaches

  • Misuse of intellectual property

  • Conduct that materially interferes with the experience of other Participants

Any decision regarding refunds following removal will be subject to applicable law and the circumstances of the removal.

9. Results & Commercial Disclaimer

Demand Architecture™ provides strategic education, methodologies, analysis and professional guidance.

No guarantee is made regarding:

  • Revenue

  • Sales

  • Lead or enquiry generation

  • Marketing performance

  • Business growth

  • Profitability

  • Return on advertising investment

  • Career progression

  • Client acquisition

  • Specific commercial or financial outcomes

Examples, forecasts, case studies and commercial illustrations are provided for educational or explanatory purposes and should not be interpreted as guarantees of future performance.

Results depend upon numerous factors outside the control of Demand Architecture™, including implementation, market conditions, budgets, competition, business strategy and execution.

Participants remain responsible for their own commercial and marketing decisions.

10. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot be excluded under applicable law.

Subject to the above and to the maximum extent permitted by law, MCG Digital Media Ltd shall not be liable for indirect or consequential losses arising from participation in a Programme or reliance upon Programme materials.

Where liability may lawfully be limited, MCG Digital Media Ltd's aggregate liability in connection with the relevant Programme shall not exceed the amount paid by the Participant for that Programme.

11. No Partnership, Agency or Accreditation

Participation in a Demand Architecture™ Programme does not, unless expressly agreed otherwise in writing, create:

  • A partnership

  • Joint venture

  • Employment relationship

  • Franchise

  • Agency relationship

  • Licensing arrangement

  • Accreditation

  • Certification

  • Authority to represent Demand Architecture™ or MCG Digital Media Ltd

Participants must not represent themselves as officially affiliated with, accredited by or authorised to act on behalf of Demand Architecture™ without written permission.

12. Third-Party Intellectual Property

Any third-party brands, platforms, technologies, examples or materials referred to during a Programme remain the property of their respective owners.

Reference to a third-party organisation does not imply endorsement, sponsorship or formal association unless expressly stated.

13. Enforcement & Protection of Intellectual Property

Participants acknowledge that unauthorised disclosure, reproduction or commercial exploitation of confidential information or proprietary intellectual property may cause significant commercial harm.

MCG Digital Media Ltd reserves all rights and remedies available under applicable law in relation to infringement or breach, including seeking injunctive relief and damages where appropriate.

14. Demand Architecture™ Trademark & Branding

The use of the Demand Architecture™ name, logo, branding and associated proprietary names does not grant Participants any licence to use those assets commercially except where expressly authorised in writing.

Participants may factually state that they have attended a Demand Architecture™ event or masterclass where this is true.

They may not imply accreditation, certification, partnership, endorsement or official representation unless such status has been expressly granted.

15. Privacy & Data

Personal information collected in connection with Demand Architecture™ Programmes will be handled in accordance with applicable data protection legislation and the relevant privacy policy.

Participant contact details will not be sold to third parties.

16. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Subject to any mandatory legal rights that apply, disputes arising from these Terms shall be subject to the jurisdiction of the courts of England and Wales.

17. Acceptance

By purchasing, booking, accessing or attending a Demand Architecture™ Programme, the Participant confirms that they have read, understood and agreed to these Terms & Conditions.

Where acceptance is obtained through an online booking or registration process, ticking the relevant acceptance box and submitting the booking constitutes acceptance of these Terms.
